Caverion Corporation is a public limited liability company registered in Finland, which was established in the partial demerger of YIT Corporation on June 30, 2013 (implementation of demerger registrated). In the demerger, YIT’s Building Services and Industrial Services were demerged into a separate group of companies, with Caverion Corporation as their parent company. Company’s shares entered into public trading on NASDAQ OMX Helsinki Ltd on July 1, 2013.
Caverion Corporation is committed to good corporate governance through compliance with laws and regulations and by implementing best practices. The administration of Caverion Corporation and the Caverion Group complies with Finnish legislation, particularly the Finnish Companies Act, Accounting Act and Securities Market Act and other regulations concerning listed companies. In addition, Caverion’s operations are guided by the common values and internal operating principles confirmed in the company.
Caverion complies with regulation of The Finnish Corporate Governance Code issued by the Securities Market Association in October 2015, which took effect on January 1, 2016. The Code is available on the internet at http://cgfinland.fi/en/. In case the company departs from an individual recommendation, it shall disclose it and provide explanation for doing so.
In its decision making and administration, Caverion also complies with the rules of NASDAQ Helsinki and the regulations and instructions issued by the Finnish Financial Supervisory Authority as well as recommendation regarding the procedures to be complied with in takeover bids issued by the Central Chamber of Commerce of Finland.
Caverion’s governance bodies
Caverion Corporation’s highest decision-making body is the Annual General Meeting, which is composed of the company’s shareholders. The Board of Directors and the President and CEO are responsible for the management and strategy of the company. Other members of Management Board assist and support the President and CEO in his tasks. The Board of Directors decides on the Group’s governance systems and ensures that the company complies with good corporate governance principles.
